1. Purpose
This Policy applies to every person who registers as an independent distributor ("Direct Seller") to sell Sandesha smart watches. It is intended to comply with the Consumer Protection (Direct Selling) Rules, 2021 and the Model Framework for Guidelines on Direct Selling, 2016 issued by the Government of India. Sandesha does not operate, and strictly prohibits, any pyramid scheme or money-circulation scheme prohibited under the Prize Chits and Money Circulation Schemes (Banning) Act, 1978.
2. Becoming a Direct Seller
- You must be 18 or older, an Indian resident with valid KYC (PAN and bank account; Aadhaar as required by law).
- Registration is free. No joining or registration fee is charged for becoming a Direct Seller, and there is no obligation to purchase any minimum quantity of products or a starter kit.
- You will receive written terms, the product price list, and a summary of the Compensation Plan before any purchase is made.
- You may cancel your registration within 30 days (cooling-off period) and receive a refund of products purchased and returned in accordance with the Return Policy.
- Registration is personal and non-transferable, except by written approval, inheritance or as required by law.
3. Independent Status
You are an independent contractor, not an employee, agent, partner or franchisee. You are responsible for your own expenses, GST/income-tax obligations (if applicable) and compliance with local laws. Sandesha does not guarantee any income or business outcome.
4. Earnings
Earnings, if any, derive from sale of Products to genuine customers and from performance bonuses defined in the Compensation Plan. Commissions are not paid for merely recruiting people. Bonuses are calculated on the Business Volume (BV) of actual product sales. Applicable taxes, including TDS under the Income-tax Act, are deducted at source and paid to the government. Payouts are credited to your verified bank account.
5. Code of Ethics — Do
- Introduce yourself and Sandesha clearly and truthfully before a sales presentation; carry your ID card.
- Explain the product's features, price, warranty and return policy accurately, in writing where asked.
- Give the customer a valid invoice and the 30-day return and 12-month warranty information on every sale.
- Respect customers' privacy and decision not to buy; stop the presentation when asked.
- Maintain proper records of sales and customers.
6. Code of Ethics — Don't
- Make false or exaggerated claims about product capability, health benefits or income, or show unauthorised earnings screenshots.
- Promise guaranteed income, "easy money", or income for just joining.
- Pressure anyone to buy stock or recruit, or encourage unplanned inventory loading.
- Collect money from prospects in your personal name for Sandesha products or "memberships".
- Misrepresent your relationship with Sandesha (for example as an employee or owner) or use our logo / trademark without written permission.
- Sell counterfeit, tampered or unauthorised products or use unauthorised marketplaces / ads.
- Cold-call or message persons registered on DND lists, or send spam.
- Defame competitors or other distributors.
7. Buy-back of Inventory
If you leave the programme, Sandesha will repurchase your unsold, unused, resaleable inventory bought within the last 12 months, in original sealed condition with invoice, at 90% of the net price paid (after reversing any bonuses earned on that stock). Buy-back of products within the first 30 days is at 100% of the price paid. Opened, damaged, discontinued or expired-offer items are not eligible. Refund is made within 30 days of receipt of the returned goods.
8. Payouts, KYC & Tax
Bonuses are processed on the cycle stated in the Compensation Plan after the return window for the relevant sales has expired. KYC (PAN, bank account) is mandatory before the first payout; payouts are subject to tax deducted at source (TDS) at the rates prescribed under the Income-tax Act, 1961 (a higher rate applies where PAN is not furnished), and to reversal for returned goods. Distributors must also issue invoices and register for GST where legally required.
9. Violations & Termination
Violations may lead to warning, withholding of bonuses on the affected sales, suspension or termination after a fair hearing. You may terminate at any time with written notice. After termination you must stop representing Sandesha. Rights to buy-back and accrued, undisputed commissions survive termination.
10. Complaints
Complaints by or about distributors can be sent to our Grievance Officer. We will acknowledge within 48 hours and resolve within 30 days. The Rules also require us to maintain a distributor register and to respond to the State authority's directions, which we will comply with.
